Articles of association
§ 1 Name and registered office
Our association bears the name "Hände der Gnade von Saron e.V" and is based in 34270 Schauenburg near Kassel in Germany. We are a non-profit organization.
§ 2 Purpose of the association
The association pursues exclusively and directly non-profit and charitable purposes within the meaning of the section "Tax-privileged purposes" of the German Tax Code. The association is non-denominational.
The purposes of the association are
(1) the promotion of civic engagement in favor of charitable, benevolent and ecclesiastical purposes;
(2) the selfless support of needy persons within the meaning of Section 53 of the German Tax Code (AO) to help the poor, widows, orphans, the needy and the homeless
(3) the promotion of disaster and civil protection as well as rescue from mortal danger;
(4) the promotion of aid for refugees, displaced persons, war victims, war survivors, war invalids, civilian invalids and disabled persons;
(5) the promotion of development cooperation;
(6) the promotion of international sentiment, tolerance in all areas of culture and the idea of international understanding.
The purpose of the statutes is realized in particular through the organization and implementation of international development and aid projects, especially in the area of care for the poor, needy, homeless and disabled people as well as in the area of aid for people who have become in need of help and protection as a result of natural disasters, the effects of war or similar events.
The association is primarily active in the following areas:
(1) Organization and implementation of logistical and administrative tasks for specific aid and development projects;
(2) Recruitment, preparation and placement of volunteers to take on logistical and administrative tasks in the association's aid and development projects;
(3) General public relations work.
The association is selflessly active. It does not primarily pursue its own economic purposes.
The association's funds may only be used for statutory purposes.
Members do not receive any donations or benefits from the association's funds.
No person may benefit from expenses that are alien to the purpose of the association or from disproportionate remuneration.
§ 3 Membership
Any natural person who is at least 21 years old can become a member of the association.
The association consists of full members with voting rights and non-voting supporting members.
Membership must be applied for in writing.
The Executive Board decides on admission
§ 4 Termination of membership
Membership ends with the death of the member, by voluntary resignation or by exclusion from the association.
Voluntary resignation is effected by written declaration to the Executive Board. It is possible with a notice period of one month to the end of each month.
A member may be expelled from the Association by resolution of the Executive Board if he or she seriously violates the interests of the Association. Before the resolution is passed, the member must be given the opportunity to justify his or her actions in person before the Executive Board or in writing, setting a reasonable deadline.
Upon termination of membership, there is no claim to the association's assets.
§ 5 Revenue
The funds for achieving the purposes of the association are to be generated by, among other things
- Membership fees, donations and other contributions,
- Income from events, consultations, conferences.
§ 6 Apportionments
In the case of special projects, contributions may be levied from the members - this is decided by the general meeting.
§ 7 Work performance
Full members are obliged to perform work as required by the association. The number of annual working hours shall be decided by the General Meeting. Hours not worked must be compensated by the payment of a sum of money. The amount of this payment per hour of work not performed is decided by the General Meeting.
Members who have reached the age of 70 are exempt from performing work.

§ 9 - Executive Board
The Executive Board consists of the Chairman, the Deputy Chairman and the Treasurer. The Executive Board represents the association in and out of court. The Chairman is authorized to represent the association alone. The Deputy Chairman and the Treasurer are only authorized to represent the association together with another member of the Board of Directors.
The members of the Executive Board are elected for an indefinite period. The term of office of a member of the Board of Directors ends with a new election, resignation or termination of membership of the association.
Board elections must be held at the next General Meeting if this is requested in writing from the Board by at least one third of the members.
The Executive Board manages the business of the association and implements the resolutions of the General Meeting. The Executive Board is authorized to issue binding regulations, provided that these Articles of Association do not establish the exclusive competence of the General Meeting.
The liability of the Management Board is limited to gross negligence or willful misconduct.
The Board of Directors works on a voluntary basis.
§ 10 - General Meeting
Every adult full member has one vote at the general meeting. Supporting members are not entitled to vote, but have the right to speak at the general meeting.
The transfer of voting rights to other members is not permitted. The General Meeting is responsible for the following matters:
- Election and discharge of the Executive Board,
- Resolution on amendments to the Articles of Association and on the dissolution of the Association,
- Appointment of particularly deserving members as honorary members,
- other tasks, insofar as this results from the Articles of Association or the law.
An ordinary general meeting takes place at least once a year.
An extraordinary general meeting must be convened if at least one third of the members submit a written request to the Executive Board.
The General Meeting shall be convened by the Chairman or, if he is unable to do so, by another member of the Board of Directors in writing or by email, stating the agenda, no later than 14 days before the date of the meeting.
The agenda must be supplemented if a member requests this in writing at least one week before the date of the meeting.
The General Meeting has a quorum if it has been duly convened.
Unless otherwise stipulated in these Articles of Association, resolutions are passed by a simple majority of the votes cast. Abstentions count as votes not cast.
Minutes must be kept of the General Meeting, which must be signed by the secretary and a member of the Board of Directors. The secretary is elected for the duration of a general meeting from among the members of the general meeting. If no member is available to act as secretary, the deputy chairman and, if he is unavailable, the treasurer shall act as secretary.
The Board of Directors may allow members of the Association to participate in the General Meeting without being present at the meeting venue and to exercise membership rights by means of electronic communication; this also applies to voting rights for members entitled to vote. In the event of a secret ballot, the member of the association who is not present at the meeting venue may cast their vote in writing within a period of one week from the date of the meeting.
